Transaction Advisory Services

Government of Uganda, Uganda
CANARAIL and its partners were selected by the Government of Uganda to act as Transactions Advisor for the privatization of the Uganda Railways Corporation and the Kenya Railways Corporation. A team of management and technical consultants completed the technical due diligence of the railway assets, the review of management structure and manpower, the examination of the regulatory regime and the economic evaluation of the railway. The project included recommendations for the restructuring of the railway, the preparation of legislative changes to facilitate the transition to the new concession, and the tendering process where assistance was provided for the selection of the potential private operator for the railway. The transaction has now been successfully completed and the new operator is in place.



Restructuring of the Railway

Royal Government of Cambodia, Cambodia
CANARAIL provided a detailed due diligence of the railway including an asset inventory, a financial analysis, the review of personnel policies and remuneration, detailed traffic forecasts, an environmental report, and a policy, legal and regulatory review. Further phases included the development of recommended changes to the legislative and regulatory regime for the railway, restructuring of the railway and the development of a new structure for the new operating company. During the final phases CANARAIL will assist the Government of Cambodia in the selection of the new operator and provide post-monitoring to ensure the finalization of the terms and conditions of the concession.



Assistance with Implementation of Railway Restructuring

Uzbekistan Temir Yollari, Uzbekistan
CANARAIL provided assistance with the implementation of railway restructuring, including preparation of an overall business plan, due diligence of five departments to be divested, review and implementation of international accounting standards and rationalization of procurement and other business practices for the Uzbek Railway.



Organizational Reform of Bangladesh Railway

Bangladesh Railway / Ministry of Communications, Bangladesh
CANARAIL assisted the Government of Bangladesh with the implementation of the necessary institutional and organizational reforms together with technical recommendations required to improve the operational and financial performance of Bangladesh Railway (BR) on a sustainable basis. CANARAIL also implemented the necessary legal, legislative and regulatory changes to provide BR with the institutional basis to operate on a market-oriented, commercial and autonomous basis.



Restructuring of the Java Railway

PT. Kereta Api (Persero), Indonesia
CANARAIL's Corporate Restructuring Advisor worked with the Railway Restructuring Taskforce to develop detailed recommendations and an implementation plan for the restructuring of the Java railway into five business units comprised of three rail service providers and two supporting business units. The plan also covered the restructuring of the railway's headquarters.



Preparation of a Detailed Regime and Private Participation Options for Rail Business

Government of Thailand, Thailand
CANARAIL provided assistance to the Government of Thailand in the development of a policy framework and the preparation of a detailed regulatory regime (including the design of a new independent regulatory body) to facilitate the establishment of a new relationship between the railway industry and the government.
